Description of Underlying Asset
For the purposes of this Forward Contract, the Underlying Asset shall mean an asset having unique characteristics, viz., title to one non-residential premises, which will be enlisted as a property (hereinafter – “Property”) after the building provisionally numbered №3.04 being part of the Mix-used complex with parking facilities located at 25 V. Vernadsky Street, Dnipro, having its construction site address at 25 V. Vernadsky Street, Dnipro, 49000, Ukraine (hereinafter – “Project”) is completed. The project is built on land owned by the Seller under the Deed of Conveyance of Land to the authorized fund made by and between T.P. Kahanovska and Limited Liability Company “Antaleks Group” on 5 July 2019, and the Deed of Conveyance of Land to the authorized fund made by and between V.O. Zaytsev and Limited Liability Company “Antaleks Group” on 5 July 2019. Title to the property was registered in the State Register of Proprietary Rights to Immovable Property on 8 July 2019 under No. 32310644.

Terms of Delivery
The delivery date of the Underlying Asset is deemed to be the date when the Non-residential premise (apartment) ownership rights are transferred to the Buyer in accordance with the Non-residential premise (apartment) Deed. Acceptance shall be accomplished by execution of a delivery and acceptance certificate.
Terms of Payment
To purchase the Underlying Asset, the Buyer shall conclude an Non-residential premise (apartment). Terms and methods of payment shall be set forth in the Non-residential premise (apartment) Deed.
Term of Forward Contract (ua)
The Forward Contract shall remain valid until the Property Deed with ANTALEX GROUP LLC comes into force.
